Form SH Compliance

The SEC now requires the reporting of short positions by certain Investment Managers.

On Monday, September 29, certain institutional investment managers must use Form SH to file reports required by the Commission's Emergency Order, Securities Exchange Act of 1934 Release No. 58591, September 18, 2008 and the Amendment to that Order, Securities Exchange Act of 1934 Release No. 58591A, September 21, 2008.

On Wednesday, October 15, 2008, The SEC issued an Interim Final Temporary Rule, Exchange Act Release No. 34-58785 extending the reporting requirements for institutional investment managers on matters pertaining to daily short sales and short positions of certain publicly traded securities.

On Thursday, October 23, 2008, the SEC released new guidance to provide for those EDGAR registrants who need to comply with the requirements of Release No. 34-58785 – this is available at: http://www.sec.gov/info/edgar/ednews/formshsubmission.htm.

EDGAR registrants responsible for Form SH disclosure should review the Special Instructions for the Filing of Temporary Form SH on EDGAR which contains important information relating to content and format of Form SH filings under the new rules.

The SEC has also published the specifications necessary for the XML disclosure – EDGAR registrants may choose to file this voluntarily on October 31, 2008 but will be required to file in XML format beginning November 7, 2008.
